# Terms of Service > The rules that govern your use of ShareLocket — what ShareLocket LLC agrees to do for you, and what we ask in return. **Effective:** October 5, 2026 ## Terms of Use These Terms of Use ("TOU") explain how ShareLocket LLC provides our services to you, and what obligations you have as a User of ShareLocket. ## ShareLocket LLC's Obligations to You ShareLocket LLC will do the following: - Supply you with access to an online (and, where available, mobile) facility to enable you to design, customize, update, modify, and share electronic Albums, and to receive member posts and comments related to your Album, and to start, join, and take part in private circles (the "Service"). - Answer reasonable questions you have regarding the TOU, the Service, and the operation of your ShareLocket account, using our support channels (including [help@sharelocket.com](mailto:help@sharelocket.com)). ## What We Ask of Users We ask our Users to agree to the following: - Read and understand the TOU and let us know if you have any questions. - Be aged 13 or over. - Use the Service responsibly. - Do not allow anyone other than yourself and ShareLocket LLC to access your account. - Use the Service solely for your own benefit and do not sell, lease, assign, lend, or hire any part of the Service to any other person without ShareLocket LLC's prior written approval. - Use the Service only for lawful purposes and without infringing the rights of any other User, ShareLocket LLC, or any third party. - Comply with all terms of the TOU. ## Security and User Privacy Please maintain the confidentiality of your password and account. You are responsible for all account-holder-accessible activities that occur under your account. Please notify us immediately of any unauthorized use of your password or account or any other breach of security at [help@sharelocket.com](mailto:help@sharelocket.com). ShareLocket LLC has put in place security measures intended to protect against the loss, misuse, and alteration of the information we collect. Your data is stored using industry-standard cloud hosting and secure infrastructure. Network protections (such as firewalls and access controls) are used to help prevent unauthorized access to our systems. You agree that ShareLocket LLC and its authorized employees may access your account, including its contents, to respond to support queries or technical issues or to fulfill obligations under this Agreement. To learn more about how the Service handles privacy, please see our [Privacy Policy](/privacy). ## User Account Registration To register as a ShareLocket User, you agree to: - Provide us with current, complete, and accurate information about yourself (the "registration data"). - Maintain and promptly update the registration data to keep it current, complete, and accurate. - Represent only yourself on the Service, and no other persons, living, dead, or imagined. - If ShareLocket LLC has reasonable grounds to believe your information is not current, or is incomplete or inaccurate, we may suspend or terminate your account. We have no obligation to check the accuracy or truthfulness of your registration data. ## The Beta ShareLocket is in beta. While the beta lasts: - Creating an account needs a beta code, a beta invitation, or an invitation to an Album or a circle. Joining through an invitation to an Album or a circle does not give you beta access of your own. - Starting a circle needs a beta code. - Features may change, be limited, be paused, or be removed, and some may not work as expected. Please keep your own copies of anything important to you. ## ShareLocket SMS/MMS/RCS Terms & Conditions - **Program description:** When opted in, you may receive text messages (SMS/MMS/RCS) to your mobile number. These messages may include links to ShareLocket circles and various notifications about these circles including, but not limited to: notices of updates, comments, and posts made by members, co-editors, and owners to your circle. - **Frequency:** Message frequency will vary depending on the member usage of the Album. Many members receive multiple messages per Album. - **Opt-in:** Album owners are solely responsible for obtaining permission to send invitations to members via SMS. Unsolicited SMS invitations to members are expressly prohibited and may result in account termination. - **Opt-out:** You can cancel the SMS service at any time. Reply to any SMS/MMS/RCS message sent by ShareLocket with the keyword 'STOP'. After you send 'STOP' to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS/MMS/RCS messages from us. If you want to join again, reply to any SMS/MMS/RCS message sent by ShareLocket with the keyword 'START' or 'UNSTOP'. - **Help:** If you are experiencing issues with the messaging system you can reply with the keyword 'HELP' for more assistance, or you can get help directly by emailing [help@sharelocket.com](mailto:help@sharelocket.com). - **Interruption:** Neither ShareLocket nor our partner carriers are liable for delayed or undelivered messages. Album owners are solely responsible for ensuring the accuracy of member information, including mobile numbers and emails. ShareLocket is not liable for undelivered invitations, invitations sent to unintended recipients, or any issues arising from incorrect information provided by the Album owner. - **Cost:** Message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, contact your wireless provider. - **Privacy:** If you have any questions regarding privacy, please read our [Privacy Policy](/privacy). ## Circles A circle is a private space on ShareLocket for a family or another group. Only the circle's members can see what is shared in it. These TOU apply to everything in a circle, including posts, photos, videos, voice notes and voice messages, documents, comments, reactions, tags, gift ideas, and links, however they arrive. Our [Privacy Policy](/privacy) explains what we do with circle content. ### Roles - **Owner.** The person who starts a circle is its owner. Only the owner can rename or close the circle, reopen a closed circle, and make members admins or stop them being admins. An owner who wants to leave must first hand the circle to another member, who becomes the owner straight away and is told. - **Owner and admins.** The owner and admins can invite people, remove members, edit or delete anything posted in the circle, and set up and switch off picture frames. An admin cannot remove the owner or another admin. - **Members.** Every active member can see the circle, post, comment and react, and edit or delete their own posts and comments. ### Your responsibilities in a circle When you take part in a circle, you agree to: - Invite only people you know who have agreed to be invited to that circle, using contact details you are entitled to use. Each person decides whether to join. - Share only what you have the right to share, and think about the people in your photos and posts, including people who are not in the circle. If someone asks you to take down something about them, please consider it carefully. - Remember that every member can see, download, and keep copies of what you share, and that it can appear in the circle's emails, texts, and picture frames, and in any of the circle's Albums. - If you are an owner or admin, use your powers to invite, remove, edit, and delete fairly and for the good of the circle, and keep any picture frame link private. We don't routinely review what is shared in a private circle. We may remove content, limit or close a circle, or suspend or end accounts that break these TOU, and we report content where the law requires it. ### Posting by email, text, and phone You can post to a circle by email, using the circle email address shown to you, and by text to the circle's phone number. Messages you send from an email address or phone number confirmed on your account are posted to the circle for its members to see, and messages from addresses or numbers we don't recognize are not posted. Where calling is available, a call to a circle's number lets you leave a voice message. By leaving one, you agree that it is recorded and shared with the circle. Texts you send to and receive from a circle's number are part of the ShareLocket text messaging program described in the ShareLocket SMS/MMS/RCS Terms & Conditions above. ### Your content and our permission to use it What you share in a circle remains yours. By sharing it, you give ShareLocket LLC permission to store, copy, process, and display it as needed to run the circle: for example, to show it to the circle's members and let them download it, to include it in the circle's emails, texts, and picture frames, to make previews and written transcripts, and, where available, to organize it as our [Privacy Policy](/privacy) describes. You also allow the circle's members to view, download, and keep copies of it. ### Circle subscriptions - A circle can have one subscription at a time. It is billed yearly, at the price shown before you pay, through our payment processor, and it renews each year until it is cancelled. - Any active member can pay for a circle's subscription. The person who pays manages it from their account and can cancel at any time; cancelling stops the next renewal, and the circle keeps its paid features until the end of the period already paid for. Handing the circle to a new owner does not move the payment. - If the person who pays leaves the circle, is removed from it, or deletes their account, the subscription ends at the end of the period already paid for, and any unused free months on it are forfeited. If the circle is closed, or a period of Premium that does not renew is cancelled, any of its months that have not started yet, whether paid for or free, are also forfeited and are not refunded or returned as credit. A paused subscription, one with an overdue payment, or an unfinished checkout ends straight away, and any open invoice for it is voided. We let the departing payer and the circle's owner know. - A circle without a subscription keeps working, with limits: fewer active members (other members are paused, not removed, and return when the circle is subscribed again), only posts from the most recent 30 days shown (older posts are kept, not deleted), no new Albums, and picture frames paused. We may also limit how many circles without a subscription one person can own. ### Leaving, removal, and closing - You can leave a circle at any time. When you leave or are removed, what you shared stays in the circle for its members, your access to the circle ends, including your automatic guest access to its Albums, and any Albums you made in the circle pass to its owner. - The owner can close a circle. A closed circle takes nothing new, but members can still look through it and download from it, and the owner can reopen it. If the owner is the only member left and leaves, the circle closes. ## User Conduct As a condition of your use of the Service, you will not use the Service for any purpose that is unlawful or prohibited by the TOU. By way of example, and not as a limitation, you agree **not** to: - Defame, abuse, harass, stalk, threaten, or otherwise violate the rights (such as rights of privacy and publicity) of others. - Publish, distribute, and/or disseminate any harmful, obscene, indecent, unlawful, libelous, profane, defamatory, infringing, inappropriate, hateful, or racially, ethnically, or otherwise objectionable material or information. - Create a false or misleading identity of, including but not limited to, a ShareLocket LLC employee, or falsely state or otherwise misrepresent your affiliation with a person or entity, for the purpose of misleading others as to the identity of the sender or the origin of a message, or to harvest or otherwise collect information about others. - Transmit, email, or post any material that contains in any form software viruses or such programs as including but not limited to Trojan horses, worms, time bombs, cancel-bots, computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment. - Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service, through password mining or any other means. - Disseminate content that infringes any patent, trademark, trade secret, copyright, rights of privacy or publicity, or other proprietary right of any party or infringes any intellectual property law or any other applicable law. - Disseminate any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of such solicitation. - Interfere with another User's use and enjoyment of the Service. ShareLocket LLC has no obligation to monitor the Service or any User's use thereof. ## ShareLocket LLC's Proprietary Rights You acknowledge and agree that the ShareLocket content including but not limited to text, software, photographs, graphics, page layout, and design presented through and as part of the Service by ShareLocket LLC (collectively the "Content") is protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws. Such Content received through the Service may be displayed, reformatted, and printed by you for your personal, non-commercial use only in connection with the Service in accordance with the TOU. Certain names, logos, and other materials displayed on the Service constitute trademarks, copyright, and other intellectual property ("IP Rights") of ShareLocket LLC. You agree that ShareLocket LLC retains and owns all right, title, and interest in the Content and IP Rights, and that the TOU does not transfer or convey to you any ownership right, title, or interest in or to the Content and IP Rights. You are authorized to use such Content and IP Rights solely for the limited purpose of using the Service and your Albums as hosted by the Service. ## Disclaimer of Warranties The Service is provided on an "as is" and "as available" basis. EXCEPT AS EXPRESSLY PROVIDED HEREIN, SHARELOCKET LLC EXPRESSLY DISCLAIMS ANY AND ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS OF ANY KIND OR NATURE, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, REPRESENTATIONS, WARRANTIES, AND CONDITIONS OF SATISFACTORY QUALITY, PERFORMANCE, MERCHANTABILITY, MERCHANTABLE QUALITY, DURABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USE OF TRADE. ShareLocket LLC does **not** represent or warrant that: the Service will meet your requirements; the Service will be uninterrupted or error-free, timely, or secure; defects or errors will be corrected; or that the content of the Service input by third parties is correct or accurate. ## Limitation of Liability YOU AGREE THAT SHARELOCKET LLC SHALL NOT BE RESPONSIBLE OR LIABLE FOR UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; ANY THREATENING, DEFAMATORY, OBSCENE, OFFENSIVE, OR ILLEGAL CONTENT; CONDUCT OF ANY OTHER USER OR ANY INFRINGEMENT OF ANOTHER'S RIGHTS; OR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES WHATSOEVER, ARISING OUT OF OR IN ANY WAY CONNECTED WITH USE OR PERFORMANCE OF THE SERVICE. AT ALL TIMES AND IN ANY EVENT, THE TOTAL LIABILITY OF SHARELOCKET LLC TO YOU SHALL BE LIMITED TO THE TOTAL FEES PAID BY YOU TO SHARELOCKET LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. ## Indemnification You agree to indemnify, defend, and hold harmless ShareLocket LLC, its parents, subsidiaries, affiliates, officers, and employees from any claim, demand, or damage, including reasonable legal fees, asserted by any third party due to or arising out of your use of or conduct on the Service. ## Modification and Termination of the Service ShareLocket LLC may, in its sole discretion, terminate your password, account, or use of the Service, and remove and discard any content within the Service, for any reason. ShareLocket LLC may also discontinue temporarily or permanently providing the Service, or any part thereof, with or without notice. ## Preservation and Return of Your Content The files, photos, videos, and other materials you upload to your Albums ("Your Content") belong to you. For as long as ShareLocket LLC remains in operation, we will preserve Your Content and keep it accessible to you through the Service, subject to these TOU. We do **not**, however, represent or warrant that Your Content will be preserved in perpetuity or "forever." Our commitment to preserve Your Content is conditioned on, and lasts only for the duration of, ShareLocket LLC's continued operation of the Service. This commitment does not apply to content you delete, content in accounts that are suspended or terminated under these TOU, or content we are required to remove or retain by law, and it does not relieve you of responsibility for keeping your own copies of Your Content. If ShareLocket LLC ceases operations, dissolves, or otherwise permanently discontinues the Service in its entirety, then, notwithstanding any other provision of these TOU, we will use commercially reasonable efforts to: - give you at least thirty (30) days' advance notice, sent to the email address associated with your account and posted on the Service, before Your Content is removed; and - make a self-service download available during that period so that you can retrieve the original files you uploaded. Our obligations under this section are limited to commercially reasonable efforts. ShareLocket LLC does not guarantee that every file can be retrieved or returned, and is not liable for content you do not retrieve within the retrieval window we specify. You are responsible for downloading Your Content before the end of that window, after which Your Content may be permanently deleted. Because the continued availability of the Service and of any Album depends on ShareLocket LLC's continued operation, we encourage you to keep independent backups of any files that are important to you. ## Modification to the TOU ShareLocket LLC reserves the right to change the TOU or policies regarding the use of the Service at any time. ## TOU Violations Please report any violations of the TOU to Customer Support at [help@sharelocket.com](mailto:help@sharelocket.com) or [legal@sharelocket.com](mailto:legal@sharelocket.com). ## Entire Agreement These TOU constitute the entire agreement between ShareLocket LLC and the User and supersede any previous agreement or understanding between ShareLocket LLC and the User. ## Governing Law These TOU shall be governed in all respects by District of Columbia law without reference to its conflict or choice of law rules or principles, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Washington, District of Columbia. ## DMCA Policy ShareLocket respects the intellectual property rights of others and expects our users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), we have adopted the following policy for handling copyright infringement claims. ### Filing a DMCA Notice (Takedown Request) If you are a copyright owner (or authorized to act on behalf of one) and believe that material on sharelocket.com infringes your copyright, you can submit a notice of copyright infringement to us by providing the following information in writing: - Identification of the copyrighted work that you claim has been infringed. - Identification of the material that you claim is infringing, including a specific URL or other identifying details. - Your contact information, including your full name, mailing address, telephone number, and email address. - A statement that you have a good faith belief that the use of the copyrighted material is not authorized by the copyright owner, its agent, or the law. - A statement that the information you have provided in your notice is accurate, and that you are the copyright owner or authorized to act on behalf of the copyright owner. - Your physical or electronic signature (typing your full legal name will suffice for electronic submissions). Upon receipt of your DMCA notice, we will investigate your claim and, if warranted, remove or disable access to the infringing material. ### Filing a Counter-Notification If you believe that material you uploaded was mistakenly removed or disabled due to a DMCA notice, you may submit a counter-notification. The counter-notification must include: - Identification of the material that was removed or disabled and its previous location. - A statement, under penalty of perjury, that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification. - Your contact information. - A statement that you consent to the jurisdiction of the federal court in your district. - Your physical or electronic signature.
